Harvest Route℠ Web Application — Terms of Use
These Terms of Use (the “Terms”) govern your access to and use of the Harvest Route web application and the Harvest Route Beta 1.0 program, including the application and registration experience (collectively, the “Web Application” and the “Beta Program”). The Web Application is operated by Harvest Route LLC (“Harvest Route,” “we,” “us,” or “our”). Please read these Terms carefully. By accessing or using the Web Application, you agree to these Terms.
1. Acceptance of Terms
By accessing, registering for, or otherwise using the Web Application, and by submitting a Beta Program application, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Web Application. During registration and Beta application you are asked to affirmatively acknowledge these Terms and the Privacy Policy; that acknowledgment confirms your agreement.
2. Beta Program and Pre-Release Status
Harvest Route Beta 1.0 is a pre-release, evolving program. The Web Application and its features: are provided for evaluation and testing and are not a final, generally-available product; may be incomplete, may contain defects, and may change, be added, or be removed at any time; may be modified, suspended, limited, or discontinued in whole or in part, with or without notice; and are not guaranteed to be continuously available or to preserve any particular data, configuration, or functionality. Features identified anywhere as planned, future, conceptual, or under development are provided for context only and are not commitments.
3. Eligibility and Organizational Authority
The Web Application is intended for organizations in regional food and agriculture — including producers/growers, buyers, carriers/logistics providers, and institutional food-system organizations — and the individuals who represent them. By registering, you represent that: (a) you are at least 18; (b) you are acting on behalf of an organization; and (c) you have authority to act for, and bind, that organization to these Terms. The Web Application is business-oriented and is not directed to children.
4. Beta Application and Selection
The Beta Program is selective and subject to manual review by Harvest Route personnel. Submitting an application does not guarantee acceptance. Harvest Route may, in its discretion, evaluate applications; request additional information or conversations; approve, decline, defer, or waitlist applicants; and determine cohort composition. The program currently includes two tracks: (1) the Harvest Route Web Application Beta (for producers, buyers, and carriers); and (2) a White-Label & API Use-Case Evaluation (for institutional food-system organizations such as food hubs, farm-to-school programs, municipalities, agencies, and regional food-system organizations). Acceptance into one track does not entitle you to another. An application, conversation, or waitlist placement creates no obligation on Harvest Route and is not an offer, contract, or promise of future availability, pricing, or licensing.
5. Account Registration and Security
Access to member areas requires an account. Registration currently uses email-and-password authentication; Harvest Route does not currently offer sign-in with Google or Apple. You agree to provide accurate, current, complete information; keep your credentials confidential; secure your account and devices; and promptly notify us of any unauthorized access or suspected security incident. You are responsible for activity under your account and, where you act for an organization, for your organization’s use of the Web Application. If additional authentication methods are added, these Terms and the Privacy Policy will be updated to describe them.
6. Organization Membership and Authorized Access
The Web Application is organized around organizations and their members. Access to member features depends on your organization’s admission and your role within it, as administered by Harvest Route and, where applicable, by your organization’s administrators. Authorization is resolved by Harvest Route’s systems on each request; interface elements are not the authorization boundary. You agree to access only the organizations, roles, and areas you are authorized to access.
7. Authorized Uses
Subject to these Terms, Harvest Route grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Web Application to evaluate and use its features as intended for your organization and to provide feedback. You are encouraged to exercise its workflows and report issues — that is the purpose of the Beta.
8. Prohibited Uses
You agree not to, and not to permit any third party to: access any system, account, data, or area you are not authorized to access, or circumvent access controls; conduct security, penetration, vulnerability, or denial-of-service testing without our prior written permission (see responsible disclosure below); misuse, share, sell, or obtain another party’s credentials, or impersonate any person or organization; scrape or use automated means to extract data except as expressly permitted; introduce malware or disrupt the integrity, performance, or availability of the Web Application; reverse engineer or attempt to derive confidential or proprietary platform logic, matching/aggregation methodology, or commercial/settlement logic, except where this restriction is prohibited by law; submit false, fraudulent, or misleading information, including in an application or in marketplace, certification, or ownership information; or use the Web Application unlawfully or in violation of these Terms.
Responsible disclosure: good-faith Beta testing and reporting of defects or security concerns are welcome; if you discover a potential security issue, please report it promptly rather than exploiting it.
9. Supplier Marketplace and Participant Information
The Web Application includes a Supplier Marketplace where producer and supplier organizations may create profiles and, at their election, publish them for discovery by other participants. Certain information you provide — including organization details, commodities, business and ownership designations, and certification claims — is self-reported. Harvest Route may offer a review process under which submitted certification evidence is evaluated by Harvest Route personnel; where that review is completed, the certification may be presented as “Harvest Route reviewed.” “Harvest Route reviewed” means Harvest Route has reviewed the submitted evidence for the stated purpose; it does not mean Harvest Route has independently audited, certified, or guaranteed the supplier, and Harvest Route is not the issuing body of any third-party certification. Information that is self-reported and not reviewed is presented as such. You are responsible for the accuracy of information you submit and publish.
10. Aggregation, Loads, Shipment and Logistics Coordination
The Web Application provides tools to coordinate market access, aggregation, loads, shipments, logistics, tracking, and related commercial workflows among participants. This information supports your own evaluation and coordination and does not replace your responsibilities. You remain solely responsible for your commercial and logistics diligence; regulatory, food-safety, and transportation compliance; product-quality verification; and carrier, insurance, and licensing verification. Harvest Route does not guarantee outcomes, availability of counterparties, transportation performance, pricing, or product quality, is not the carrier or transporter of any shipment, and is not a party to transactions between participants.
11. Payments, Subscriptions and Platform Fees
Certain features are associated with paid memberships and fees, currently: a Buyer membership ($79/month); a Carrier membership ($59/month); a Producer/Grower plan with no monthly subscription and a one-time $250 application fee; a product-commerce platform fee of 8% on applicable product transactions; and a logistics booking fee of 15% on applicable logistics/booking activity. Institutional / White-Label arrangements are handled on a “Call to Setup” basis. Amounts, availability, and applicability may change as the Beta evolves.
Payments and subscription billing are processed through Stripe, a third-party payment services provider; you may be subject to Stripe’s terms. Harvest Route does not receive or store your full payment-card number or card security code; those are handled by Stripe. Harvest Route maintains records of subscriptions, fees, and transactions associated with your organization. Nothing in this Section is a determination of Harvest Route’s regulatory status; the legal characterization of Harvest Route’s payment and logistics role will be described as required by applicable law.
12. Participant-to-Participant Transactions
Commercial and logistics arrangements you enter with other participants are between you and those participants. Harvest Route provides coordination tools and, where applicable, administers associated platform fees, but is not a party to, and does not guarantee, those arrangements.
13. Intellectual Property
The Web Application and the Harvest Route platform — including software, source code, interface, workflows, algorithms and methodologies, designs, graphics, branding, trademarks and service marks, documentation, content, and the underlying commercial and operational architecture — are owned by Harvest Route or its licensors and protected by law. Except for the limited rights in Sections 6–7, no right, title, or interest is transferred to you. You may not use the Harvest Route name, logo, or marks without our prior written permission.
14. Participant Content
As between you and Harvest Route, you retain ownership of the information, data, and content you or your organization submit (“Participant Content”). You grant Harvest Route a non-exclusive, worldwide, royalty-free license to host, store, process, display, and use Participant Content as necessary to operate, administer, secure, and improve the platform, to make it available to the participants and counterparties you direct or publish it to, and as described in the Privacy Policy. You represent that you have the right to submit and, where applicable, publish that content.
15. Confidentiality and Non-Public Beta Features
Through the Beta you may access non-public features, prototypes, workflows, interface concepts, architecture, and documentation (“Beta Materials”). Beta Materials are confidential; you agree to use them solely for the Beta and not to disclose or share them (including screenshots or descriptions of non-public functionality) without our prior written consent, except where the information becomes public through no fault of yours. This does not restrict discussion of your own Participant Content or your general experience, other than non-public features.
16. Feedback
If you provide comments, bug reports, ideas, or suggestions (“Feedback”), you grant Harvest Route a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate it to improve Harvest Route’s products and services, without obligation or compensation. This grants no rights in your unrelated pre-existing intellectual property, and you are not required to provide Feedback.
17. Third-Party Services
The Web Application relies on third-party infrastructure and service providers to operate — for example, our application and data-platform provider, our hosting and cloud infrastructure, and Stripe, our payment services provider. Your use may be subject to those providers’ terms. Harvest Route is not responsible for the acts, omissions, or availability of third-party services outside its control, nor for third-party websites linked for convenience.
18. Availability and Modification
We may at any time modify, update, suspend, restrict, or discontinue any part of the Web Application or Beta Program, including features, cohorts, and access, with or without notice, and are not liable for any such change.
19. Suspension and Termination
We may suspend or terminate your access at any time, with or without notice, including for actual or suspected violation of these Terms, security risk, unlawful conduct, or ordinary Beta-program management. You may stop using the Web Application and withdraw at any time by contacting us. Provisions that by their nature should survive — including intellectual property, confidentiality, feedback, disclaimers, limitation of liability, and governing law — survive.
20. Disclaimer of Warranties
THE WEB APPLICATION AND BETA PROGRAM ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Because this is a pre-release Beta, we do not warrant that it will be uninterrupted, timely, secure, error-free, or that data will be preserved. You use it at your own discretion and risk. Some jurisdictions do not allow certain exclusions, so some of the above may not apply to you.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARVEST ROUTE AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE WEB APPLICATION OR BETA PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
22. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Harvest Route and its officers, members, employees, and agents from third-party claims, damages, liabilities, and reasonable expenses arising out of your misuse of the Web Application, your violation of these Terms, or your violation of law or the rights of a third party.
23. Governing Law
These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Georgia will have jurisdiction over disputes arising out of or relating to these Terms, and you consent to their jurisdiction.
24. Changes to These Terms
We may update these Terms from time to time. We will revise the “Last Updated” date and, for material changes, provide additional notice through the Web Application or by contacting you. Continued use after an update becomes effective constitutes acceptance.
